TERMS AND CONDITIONS

GENERAL CONDITIONS OF SALE RR FPV Cinelifter Store

1. GENERAL STIPULATIONS

These General Conditions of Sale are concluded between the company RRFPV SLU ESB56180060, hereinafter referred to as "RR Cinelifter Store", and the persons wishing to make a purchase via the website www.rrfpv.com, hereinafter referred to as the "Site".

Customers are consumer customers. The only customer considered to be a "consumer" within the meaning of the General Conditions of Sale is the customer who is a natural person acting for private purposes or for purposes that do not fall within the scope of a commercial, industrial, craft or liberal activity.

The fact that one of the parties does not avail itself at a given time of one of these conditions cannot be interpreted as a waiver of the right to avail itself subsequently of any of the said conditions. The cancellation of a clause of these general conditions will not affect the validity of the General Conditions of Sale as a whole.

The stipulations of these General Conditions of Sale cannot be modified by contrary stipulations, without the express written consent of the parties.

2. ORDER

The Customer will place an order in accordance with the instructions given on the Site. He undertakes to complete his registration and order form, making sure to provide the necessary complete and accurate information. In any event, the Customer is responsible for the information entered on his registration form and when placing an order. In the event of an error, RR Cinelifter Store cannot be held responsible for any failures or delays caused in the delivery of products and services.

The steps to complete the sale on the Site are as follows:

- The Customer selects his products by clicking on the "Add to cart" tab

- The Customer confirms his order by clicking on the "Next" tab

- The Customer identifies himself by completing the form in the "Identify yourself" section, if the latter has not yet registered

- The Customer completes the desired delivery address

- The Customer is informed of the delivery methods offered and their price

- The Customer chooses his payment method and if necessary completes the information specific to the chosen payment method

- The Customer accesses the summary page of his order.

- The Customer chooses his method of payment and is redirected to the payment page

- The Customer makes the payment on the secure site of the financial partner of RR Cinelifter Store

The validation of the order by the Customer firmly and definitively formalizes the distance sales contract concluded with RR Cinelifter Store. Once the order has been confirmed, the Customer can print a summary of his order, which he will also receive by email, accompanied by the form for exercising the right of withdrawal. This document must be kept, it constitutes proof of the Customer's order and of the contract between the parties.

In any case,RR Cinelifter Store reserves the right not to satisfy any request from the Customer which would be exorbitant or derogatory to common law and its General Conditions of Sale or in the event of an ongoing dispute with the Customer.

3. PRODUCTS

3.1 RR Cinelifter Store takes the greatest care in communicating information relating to the essential characteristics of products and services, in particular by means of technical descriptions from its partners and suppliers and photographs illustrating the products. In any event, RR Cinelifter Store cannot be held liable for any changes or errors concerning the description of the characteristics of the product purchased, unless however the essential characteristics of the product or service are found. affected.

Given the specificity of certain products marketed, RR Cinelifter Store more particularly draws the attention of Customers on its Site with regard to their conditions of use and the applicable regulations.

In any case, the use of the products will be carried out under the sole responsibility of the Customer. Under these conditions, the Customer is required to ensure that the product is kept in good condition, to use it for its intended purpose, in particular respecting the applicable provisions, the prescriptions given byRR Cinelifter Store and the manufacturer. In this regard, the Customer is not recommended to make any changes to the product, install accessories, ancillary parts or any other non-compliant device on the product. The Customer undertakes to use the products in accordance with the regulations in force and to comply with all of his legal obligations.RR Cinelifter Store can in no way be responsible for defects and deterioration of the products delivered, resulting from abnormal or non-compliant use and subsequent to the delivery of these products.

3.2 The products are, unless expressly specified by RR Cinelifter Store, new products. They are offered for sale within the limits of available stocks and supply possibilities fromRR Cinelifter Store suppliers. The availability of the products is confirmed to the Customer before his order confirmation.

The consumer Customer is informed that the parts essential for the use of the products sold on the Site are available on the market for a period of 6 months.

4. PRICE / PAYMENT

We do not keep our customers' credit card data on our website.

The products are invoiced according to the current price mentioned on the Site on the day of the sale. The prices are indicated in euros and are understood to include all taxes for consumer customers, the applicable VAT being that in force at the time of invoicing.

The prices indicated do not include the delivery costs of the products, invoiced in addition and clearly indicated before the validation of the order.

RR Cinelifter Store reserves the right to modify its selling prices at any time. However, no modification subsequent to the order taking can be applied.

Orders are payable in euros.

The price of the products is indicated at the end of the online order, before its validation. Payment on the Site is made exclusively by credit card (VISA, Carte Bleue, MASTERCARD) or Paypal.

The obligation to pay is fulfilled to the extent that the bank payment centers concerned have given their consent. In case of refusal of the said centers, the order will be automatically canceled and the Customer redirected to the Site.

5. DELIVERY / RECEPTION

Delivery of the products is made to the address mentioned by the Customer on the order form, by post or by private carrier.

Delivery delay

The package is shipped after receipt of payment from the Customer. Delivery is made within two (2) to five (5) days of shipment of the products in mainland Europe/WorldWide. Product delivery times are indicative, unless expressly committed in writing by RR Cinelifter Store on firm dates and times. In the event of a foreseeable delay, RR Cinelifter Store will inform the Customer as soon as possible and provide him with an estimate of the additional delivery time.

RR Cinelifter Store cannot be held responsible for any delay or failure to receive due to a case of force majeure - as stipulated in article 10 of these General Terms and Conditions of Sale - or fault on the part of the Customer.

In any event, in the absence of execution at the latest within thirty (30) days of the conclusion of the contract, the Customer may put RR Cinelifter Store on formal notice, by registered letter with acknowledgment of receipt, to execute the sale. Failing this, the consumer Client may terminate the contract by registered letter with acknowledgment of receipt. The contract will be considered terminated upon receipt by RR Cinelifter Store of this letter, unless it has been executed in the meantime; the sums paid by the consumer Client would then be reimbursed without interest or compensation no later than fourteen (14) days following the date on which the contract was terminated.

For reasons of availability, an order can be delivered in several times to the Customer. The customer only pays for one delivery. If the Customer wishes two (2) places of delivery, he then places two (2) orders, with the associated delivery costs.

Terms of delivery / reception

The Customer is required to personally ensure receipt of the products ordered. The Customer agrees to sign the receipt of the products.

It is the Customer's responsibility to check the condition of the products on the day of their receipt. It is up to him to formulate any dispute or reservation on the delivery note of the carrier, signed, and to confirm them by registered letter with acknowledgment of receipt within forty-eight (48) hours of receipt of the products. A copy of this letter must be sent to RR Cinelifter Store, any anomaly must be reported by the Customer to RR Cinelifter Store under the conditions provided for in article 10 hereof.

6. RIGHT OF WITHDRAWAL / CANCEL FOR CONSUMER CUSTOMERS

The Customer has a withdrawal /cancel period of fourteen (14) clear days from the date of receipt of the products ordered except for the purchase of any RR BNF, Frame or Accessory that has been produced by demand/custom order, pre ordered or added on a production batch, only items on stock when ordered can be returned by the customer in 14 days, if the products are in perfect conditions after our review.

RR BNF, Frame or Accessory orders can not be cancelled or returned once ordered if we already have started the production or ordered any custom parts.

Delays on a custom made product/order could occur during production/testing phase, so return or cancellation claims wont be accepted on that case.

“The right of withdrawal cannot be exercised for contracts: (...)

1 ° The provision of services fully performed before the end of the withdrawal period and whose performance has begun after the express prior consent of the consumer and express waiver of his right of withdrawal;

(...) 3 ° Supply of goods made to the consumer's specifications or clearly personalized. (...) "

To exercise his right of withdrawal for other products, the Customer must, within the period indicated above, send to RR Cinelifter Store, a registered letter with acknowledgment of receipt specifying his desire to use this right or return the standard form for exercising the right of withdrawal at the address indicated in article 12 of these General Conditions of Sale.

The Customer must return the products, to the address indicated in article 12 of these General Conditions of Sale, within fourteen (14) days of communicating their decision to withdraw, in their perfect condition and original packaging. , without any trace or mark, with all the accessories (including the instructions) and any gifts offered.

He must return the product with a duplicate of the invoice as well as the duly completed “return form”. Only the risks and costs of returning the products remain the responsibility of the Customer. If all the conditions required for the return of the products are not met, RR Cinelifter Store may deduct from the sums to be reimbursed, where applicable, a share of the sale price corresponding to the sale price of the missing products, as well as the repair, replacement and / or overhaul of possibly degraded products.

RR Cinelifter Store undertakes to reimburse the Consumer Client within fourteen (14) days of receipt of the registered letter specifying the Client's desire to withdraw or of the standard form. However, RR Cinelifter Store is entitled to defer this reimbursement until the actual receipt of the produits.

The reimbursement is made directly to the Customer's bank account, following the same terms as those used to make payment for the products in question.

7. RESPONSIBILITY AND GUARANTEES

RR Cinelifter Store is bound by the legal guarantees in force, namely, the legal guarantee of conformity and the legal guarantee against hidden defects.

7.1. Without prejudice to any reservations made to the carrier, complaints on apparent defects or non-conformity of the products delivered to the products ordered must be made by registered letter with acknowledgment of receipt sent to RR Cinelifter Store within five (5) days of receipt of the products or shortly after the discovery of a hidden defect. It is the Customer's responsibility to provide any justification as to the reality of the defects or anomalies observed. He will have to leave it to RR Cinelifter Store to proceed to the observation of these defects or anomalies. Any product return must be the subject of an express agreement fromRR Cinelifter Store and will result in the establishment of a credit note for the benefit of the Customer after qualitative and quantitative verification of the returned products. The costs and risks of the return remain the responsibility of the Customer.

7.2. In any event,RR Cinelifter Store declines all liability due in particular to:

- Normal wear and tear of its products;

- Use not in accordance with the use for which the product is intended

- Damage or accidents resulting from negligence, lack of supervision or maintenance or improper use;

- Damage resulting from modifications, additions or repairs to the product;

- Damage resulting from a breach of the recommendations for the use of the products mentioned on the product description, and / or specific regulations relating to the products sold.

- Malicious acts by Customers or third parties.

7.3. RR Cinelifter Store cannot be held responsible for damage, temporary or permanent, caused to the Customer's computer system, nor for any loss or damage that may be suffered, in particular following access to or browsing the Site.

During a warranty process, the customer must ship the product/s to RRFPV by their means and costs for inspection/service. Subsequently, if it is confirmed that there is a build mistake/failure or part that must be repaired under warranty, RRFPV will take care about the parts on warranty, repair labor service, and sending it again at no cost to the customer.

If there has been a fault, modification or negligence in the use of the product by the customer, parts, repair labor service and shipping costs will be paid by the customer.

RRFPV will cover any faulty part, labor service and shipping back to customer in case the customer can probe with Blackbox, video, DVR and proper explanation with the supervision and approbal by RRFPV for the case.

RRFPV wont cover any extra damage on other parts/gear produced by a faulty part on BNF. Will be covered the part itself on warranty (if applicable) and the labor to replace/repair it, with the testing service included.

For any out-of-warranty repair, the customer must pay the shipping and repair labor cost previously agreed with RRFPV.

The transmission of data via the Internet may lead to the appearance of errors and / or the fact that the Site is not always available. Consequently,RR Cinelifter Store cannot be held responsible for the availability and interruption of the online service.

8. FORCE MAJEURE

In the event of the occurrence of a case of force majeure preventing the execution of its obligations by RR Cinelifter Store, the contract would be immediately suspended, as from the notification made by RR Cinelifter Store to the Customer, given by any means. Likewise,RR Cinelifter Store will inform the Customer of the cessation of this event and the execution of the contract will then resume immediately on the date of this notification.

If such an event were to continue beyond one (1) month after the date of notification, the contract will be considered automatically terminated. The sums received by RR Cinelifter Store before this date would then be reimbursed to the Customer.

9. INTELLECTUAL PROPERTY / COMPUTING AND FREEDOM

All the content of the Site or any advertising documentation (illustrations, texts, wordings, brands, images, videos) is the property of RR Cinelifter Store or is used with the authorization of the holders of the rights in question. Any complete or partial reproduction, as well as the creation of hypertext links, are prohibited, unless RR Cinelifter Store gives its express and prior authorization.

RR Cinelifter Store collects, records, changes, uses and transmits personal data of Customers as part of the execution of orders placed, Customer relations, Customer advice and services as well as for the preservation of the commercial interests of RR Cinelifter Store, in particular for proof preservation needs. To the extent that this is necessary for the performance of RR Cinelifter Store's obligations, the latter transmits personal information to third parties, for example the carrier.

The Customer has the right to access, modify, rectify and delete data concerning him in accordance with Spanish law.

10. APPLICABLE LAW - PRESCRIPTION - ATTRIBUTION OF JURISDICTION

The parties agree that these General Conditions of Sale and their consequences are subject to Spanish law. The language of these General Conditions of Sale and relations between the parties is Spanish.

The Consumer Client is informed of the possibility of resorting, in the event of a dispute, to a conventional mediation procedure or any other alternative mode of dispute settlement. In the absence of an amicable solution within fifteen (15) days, the parties will recover their freedom to bring the dispute before the competent courts.

12. PRIVILEGES

In the event of a breach of any of the provisions of these general conditions or more generally of a breach of the laws and regulations in force by a Customer, RR Cinelifter Store reserves the right to take any appropriate measure and in particular to:

suspend, delete or prevent access to the Services by the Client, author of the breach or violation, or who participated in it,

notify any authority concerned,

take all appropriate measures and initiate any legal action.

RR Cinelifter Store can if it wishes, without having to justify itself, delete a customer account.

13. Since 01/01/2024, all RR BNF drones and RR Frame kits are sold ONLY for private test/use in indoors or test on bench for all UE region. Any other kind of use on public air space or professional way is responsability of the buyer/customer.

1. DEFINITIONS

For the purposes of these Terms & Conditions (the “Terms”), the following definitions apply:

a) "RRFPV" refers to RRFPV SLU, the seller and manufacturer of the Products.
b) "Products" refers to aircraft frames, BNF drones, components, batteries, electronics, accessories, assembly/tuning services, or any other items offered for sale by RRFPV.
c) "BNF" means bind-and-fly aircraft, partially or fully assembled with electronics.
d) "Buyer" means any natural or legal person purchasing Products from RRFPV.
e) "Business Buyer" means a legal entity purchasing for commercial or industrial use.
f) "Consumer" means an individual purchasing for personal use, as defined under EU law.
g) "Experimental Hardware" means non-certified electronic or mechanical equipment designed for testing, lab evaluation or engineering purposes.
h) "DOA" means dead-on-arrival, i.e., malfunction at delivery.
i) "UAS" means unmanned aircraft system.

2. SCOPE OF APPLICATION

These Terms govern all sales of Products offered by RRFPV through its website, communications, proforma invoices, email, and other sales channels, including international and export sales.

By placing an order, the Buyer acknowledges acceptance of these Terms.

RRFPV reserves the right to update these Terms at any time. The version applicable is the one in force at the time of purchase.

3. NATURE OF THE PRODUCTS (EXPERIMENTAL HARDWARE)

====================================================

RRFPV Products are sold strictly as experimental, non-certified hardware intended for engineering evaluation, private testing, laboratory analysis, bench testing, and hobby research use.

RRFPV Products are not certified UAS, are not CE-marked, do not include any Class identification (C0–C6) under Regulation (EU) 2019/945, and are not approved for aviation use, outdoor flight, professional flight operations, or operation in public or regulated airspace.

RRFPV does not represent or warrant that the Products are compliant with aviation, safety, radiofrequency, telecommunications, defense, or battery certification requirements of any jurisdiction.

4. USE RESTRICTIONS (NON-AVIATION USE)

=====================================

The Products are not intended for:

outdoor flight,
professional operations,
commercial services,
recreational flight in public airspace,
aviation or UAS operations regulated by EASA, FAA, or any other authority.

Any such use shall require the Buyer to obtain appropriate certifications, authorizations, approvals, or licenses as required by the competent regulatory authority.

RRFPV shall not be liable for any regulatory violations, fines, damages, losses, claims, penalties, or enforcement actions arising from improper, illegal, unapproved, or uncertified use.

5. REGULATORY COMPLIANCE – EU (EASA / CE / CLASS)

=========================================================

Within the European Union and EEA, operation of UAS in public airspace is regulated under Regulation (EU) 2019/945 and Regulation (EU) 2019/947.- 2020/1058

RRFPV Products are sold as non-certified experimental hardware and therefore:

are not CE-marked,
do not carry Class identification (C0–C6),
are not compliant with 2019/945 / 2019/947 / 2020/1058
are not intended for UAS operation under Open, Specific, or Certified categories.

The Buyer assumes full responsibility for compliance with applicable European aviation, safety, RF, EMC, and battery regulations.

6. REGULATORY COMPLIANCE – USA (FAA / FCC / NDAA)

=========================================================

In the United States, UAS operations and radio equipment are regulated by the Federal Aviation Administration (FAA) and the Federal Communications Commission (FCC).

RRFPV Products:

a) are not FAA-certified or approved,
b) are not FCC-authorized for UAS operational use,
c) are not NDAA-certified for U.S. Government procurement,
d) are not marketed or sold for governmental, defense, or law-enforcement use.

RRFPV does not guarantee that the Products may be imported into or operated within the United States without additional compliance actions by the Buyer.

The Buyer assumes full responsibility for satisfying FAA, FCC, NDAA, and state-level compliance.

7. EXPORT CONTROL & DUAL-USE COMPLIANCE

==========================================================

The Products may be subject to export, re-export, or import control regulations, including but not limited to:

EU Dual-Use Regulation (Regulation (EU) 2021/821),
U.S. Export Administration Regulations (EAR),
International Traffic in Arms Regulations (ITAR),
National customs, defense, and trade regulations.

RRFPV does not authorize diversion of Products to embargoed, sanctioned, or restricted end-users, end-uses, or jurisdictions.

The Buyer assumes full responsibility for obtaining any required export or import licenses, clearances, or documentation.

8. BUYER RESPONSIBILITY FOR REGULATORY COMPLIANCE

====================================================

The Buyer acknowledges that regulatory compliance related to aviation, RF, telecommunications, battery transport, and customs import/export lies solely with the Buyer.

RRFPV does not provide legal guidance, operational guidance, regulatory guidance, or certification services unless expressly agreed in writing.

9. PRODUCT ASSEMBLY, MODIFICATION, AND FIRMWARE

====================================================

Many Products require assembly, tuning, soldering, configuration, calibration, and firmware installation by the Buyer.

The Buyer acknowledges that:

assembly and tuning require technical expertise,
firmware may alter performance and safety characteristics,
changes may cause irreversible damage or loss of functionality.

RRFPV shall not be liable for damage caused by assembly, firmware, tuning, incorrect configuration, or modification by the Buyer or third parties.

10. WARRANTY POLICY (MIXED – DEFECTS ONLY)

====================================================

RRFPV provides warranty only against manufacturing defects and DOA (dead-on-arrival) hardware.

Warranty does not cover:

a) crashes,
b) impact damage,
c) water damage,
d) electrical damage (short-circuit, over-voltage, over-current),
e) tuning or firmware damage,
f) over-heating or overload,
g) battery failure,
h) misuse, abuse, or incorrect operation,
i) use as UAS in aviation environments or public airspace.

Warranty does not apply if the Product has been disassembled, modified, flashed, soldered, reworked, tuned, or operated outside of design parameters.

DOA claims must be reported within 72 hours from delivery with evidence.

11. RETURNS & WITHDRAWAL RIGHTS

======================================

RRFPV complies with European consumer protection regulations. Consumers residing within the EU have the right to withdraw from standard purchases within 14 calendar days from delivery, provided that the Product:

has not been used,
has not been assembled,
has not been soldered,
has not been flashed or configured,
has no signs of operation,
is returned complete and in original packaging.

RRFPV may refuse returns or apply deductions if the Product shows signs of assembly, modification, or use.

12. EXCLUSION – BUILT-TO-ORDER, BNF, AND CUSTOM CONFIG

==========================================================

The right of withdrawal or Cancel order does not apply to:

a) BNF drones,
b) Products built-to-order,
c) Custom assemblies,
d) Custom soldering or wiring,
e) Tuning or configuration services,
f) Firmware installation,
g) Products requiring manufacturing allocation,
h) Pre-order or special-order items.

Such Products are considered made-to-specification and therefore excluded under EU consumer law from withdrawal rights.

13. SHIPPING & DELIVERY

===============================

RRFPV ships internationally through third-party carriers. Transit time, delays, customs inspection, and import procedures are outside RRFPV’s control.

Risk of loss transfers to the Buyer upon handover to the carrier unless otherwise agreed.

Production, Lead Times, Delays and Non-Cancellation for BNF/Custom Orders

Estimated production times, lead times, and delivery dates displayed on the website, provided during checkout, or communicated via email or other channels shall be considered non-binding estimates only. Such estimates are provided on a best-effort basis and do not constitute a guaranteed delivery date nor a condition where “time is of the essence”.

BNF drones, custom configurations, assembly, tuning, wiring, firmware installation, testing, QA processes, component sourcing and international shipping may be subject to delays arising from, including but not limited to:

(a) supply chain shortages or component allocation,
(b) vendor delays,
(c) production workload or scheduling,
(d) testing or tuning issues,
(e) quality control processes,
(f) carrier or logistics disruptions,
(g) customs inspections or clearance delays,
(h) regulatory checks,
(i) export/import documentation delays, or
(j) force majeure events.

The Buyer acknowledges that such delays do not entitle the Buyer to cancel the order, refuse delivery, request refunds, claim damages, or demand compensation of any kind.

BNF, built-to-order, custom assembly, and configuration orders are considered non-cancellable and non-refundable, even in the event of delays in production, testing, logistics, or customs. The Buyer accepts the risk of extended lead times inherent to custom UAS experimental hardware manufacturing and international shipments.

14. CUSTOMS, DUTIES & IMPORT CLEARANCE

==============================================

International shipments may require customs clearance. The Buyer is solely responsible for:

customs declarations,
duties,
taxes,
brokerage fees,
import permits,
compliance documentation.

RRFPV shall not be liable for shipments delayed, seized, inspected, refused, or destroyed by customs authorities.

Failure to clear customs does not entitle the Buyer to a refund.

15. LIPO & DANGEROUS GOODS

===============================

Lithium Polymer batteries (LiPo) are regulated as Dangerous Goods (UN3480/UN3481) under international transport law.

The Buyer acknowledges that:

shipments may require DG handling fees,
carriers may impose restrictions,
certain destinations may prohibit air transport of LiPos.

RRFPV does not guarantee transport availability for LiPo batteries to any country.

16. EXPORT RESTRICTIONS & INCOTERMS

==========================================

Unless otherwise agreed in writing, all international shipments are made EXW (Incoterms 2020) from Spain.

RRFPV does not ship under DDP (Delivered Duty Paid) unless explicitly contracted.

The Buyer bears all costs and risks associated with export, import, and customs clearance.

17. DOA (DEAD-ON-ARRIVAL)

==============================

DOA claims must be filed within 72 hours of delivery and must include:

description of issue,
serial number (if applicable),
photographic or video evidence,
proof of purchase.

RRFPV may request return of the Product for inspection. If DOA is confirmed, RRFPV may, at its discretion, replace the item or issue a refund.

18. LIABILITY LIMITATION (FULL EXCLUSION – B1)

======================================================

To the maximum extent permitted by law, RRFPV shall not be liable for:

aerial operation,
aviation incidents,
flight crashes,
property damage,
personal injury,
bodily harm,
third-party liability,
consequential damages,
regulatory enforcement,
lost profits or business interruption,
unlawful or uncertified operation of Products.

RRFPV does not assume any role as aircraft manufacturer, UAS integrator, operator, maintainer, or pilot.

The Buyer assumes full responsibility for operation, testing, firmware, tuning, and deployment of the Products.

10. Warranty

RRFPV provides a limited warranty covering manufacturing defects.

This warranty does not cover damage resulting from:

• operation outside recommended parameters

Due to the nature of UAV systems, normal operational wear and damage caused by accidents are not covered under warranty.
